The firm

A single office for the entire corporate lifecycle.

Chetan Narwani & Associates was founded in 2014 as a Practicing Company Secretary firm in Indore, Madhya Pradesh. The practice is led by CS Chetan Narwani, an associate member of the Institute of Company Secretaries of India, qualified in corporate law (CS), commerce (M.Com) and law (LL.B.).

That combination — corporate secretarial training paired with a legal grounding — is deliberate. It means the same office that incorporates your company can also draft your shareholders' agreement, file your annual returns, conduct your secretarial audit, reply to a tax notice, and appear for you before the Registrar of Companies, the Regional Director or the National Company Law Tribunal.

Most firms hand you off at the boundary of their licence. A company secretary files your forms but cannot argue your case; a tax consultant answers the notice but has never seen your board minutes; a lawyer drafts the agreement without knowing whether the resolution authorising it was ever passed. Each handoff is a place where the record can quietly stop making sense — and it is precisely that inconsistency which surfaces years later, in a due diligence report or a show cause notice.

We work across the whole span instead: incorporation and structuring, the recurring ROC and secretarial calendar, share capital and restructuring, secretarial audit and due diligence, GST and income tax through to appellate representation, trademarks and copyright, and NCLT, Regional Director and ROC appearances. Twelve practice areas, one file, one person accountable for it.

The client list runs from first-time founders registering a private limited company, through established manufacturers and traders across central India, to Section 8 non-profits and overseas promoters setting up an Indian subsidiary. The scale differs enormously; the standard of record-keeping does not.

"Compliance is not paperwork after the fact. Done properly, it is the record that protects the company, its board and its shareholders when something is finally questioned."

Twelve disciplines.
One accountable office.

Who we serve

The right compliance calendar depends on what you are.

A one-person company and a Section 8 non-profit face entirely different obligations. We map your applicable filings once, at onboarding, so nothing is assumed.

Startups & founders

First incorporation, founders' agreements, ESOP groundwork, DPIIT recognition, and a compliance calendar you can actually follow while building.

Private limited companies

Annual ROC filings, board and general meeting records, SBO and MSME reporting, charge registration, capital changes and director movements.

LLPs & partnerships

LLP incorporation, Form 8 and Form 11 filings, partner admissions and retirements, and conversion into a company when you outgrow the structure.

Section 8 & non-profits

Section 8 licence and incorporation, governance framework, CSR and FCRA registrations, and the ongoing filings that keep exemptions intact.

Foreign subsidiaries & JVs

Indian subsidiary setup for overseas promoters, joint venture structuring, shareholders' agreements and the reporting that follows foreign investment.

MSMEs & family businesses

Udyam registration, GST and income tax compliance, succession and restructuring, and cleaning up years of back-filings where records have lapsed.

Our approach

How an engagement actually runs.

No open-ended retainers with vague scope. Every engagement follows the same four stages.

01

Consultation

A direct conversation about your entity, its history and what you need. We tell you plainly whether the matter is straightforward or contentious — and what it will take.

02

Diagnosis & scope

We review your existing records, identify gaps and overdue filings, and issue a written scope with the specific forms, timelines and statutory fees involved.

03

Execution

Drafting, filing and certification are handled in-house. Where a hearing or representation is required, we appear before the ROC, RD, NCLT or the tax authority ourselves.

04

Ongoing custody

Registers, minutes and filed forms are maintained and handed to you in order. You get advance reminders before every statutory due date, not after.

Why this firm

Four things clients say they were missing.

Most people find us after an experience that went badly — a struck-off company, a notice nobody answered, or records that could not be produced during due diligence.

Deadlines are tracked, not remembered

Every client entity sits on a maintained compliance calendar. You hear from us before a due date — including the ones businesses routinely miss, like half-yearly MSME reporting and director KYC.

Secretarial and legal work under one roof

A CS qualification paired with an LLB means the person filing your forms is also the person who can draft the agreement behind them and argue the matter if it is ever challenged.

Records you can actually produce

Minutes, registers, resolutions and filed forms maintained in order and indexed. When a bank, an investor or an acquirer asks for documents, they are ready — not reconstructed in a panic.

You deal with the principal

This is a proprietorship practice, not a call centre. The person who advised you at the first consultation is the person handling the matter and appearing on it.
